Metaplanet Moves Closer to US Takeover as Super League…

Japanese Bitcoin treasury company Metaplanet has moved closer to establishing a US-listed subsidiary after shareholders of Super League Enterprise approved proposals supporting a transaction involving 2,100 Bitcoin and $2.5 million in cash. Super League announced the approval on October 19, 2026, following its annual shareholder meeting on October 16. The agreement, originally announced on August 18, would give Metaplanet control of the Nasdaq-listed company, which plans to rebrand as Superplanet and adopt the ticker SUPA.The transaction is expected to close during the fourth quarter of 2026, subject to customary conditions and required Nasdaq filings. The shareholder vote removes a significant obstacle, although the acquisition has not yet been completed and the Bitcoin has not been transferred. The arrangement would extend Metaplanet’s corporate Bitcoin treasury strategy from Japan into the United States, creating access to two major public equity markets.

Metaplanet to Contribute Bitcoin Worth $170 Million

Under the agreement, Metaplanet will contribute 2,100 BTC and $2.5 million through its wholly owned US subsidiary, Metaplanet Holdings. The Bitcoin was valued at approximately $132.1 million using the August 14 reference price specified in the agreement. By October 16, its market value had increased to approximately $170 million, illustrating the transaction’s exposure to Bitcoin price movements. In exchange, Metaplanet will receive 44,859,400 common shares priced at $3 each, alongside preferred shares and warrants. The common share allocation was fixed using the August reference valuation and will not change with Bitcoin’s price before closing. The agreement also includes 100 convertible perpetual preferred shares carrying governance rights. Metaplanet will receive ten-year warrants covering up to 381 million additional common shares, with exercise prices ranging from $3 to $33.50. Separately, the company could invest another $210 million through preferred shares during the 24 months following completion. These additional investments are optional and should not be treated as committed funding. Metaplanet has agreed to a five-year lock-up covering the common shares received at closing and shares issued through certain conversions or warrant exercises, subject to exceptions.

Superplanet to Become Metaplanet’s US Treasury Platform

Following completion, Super League will become a Metaplanet-controlled company while retaining its existing advertising and media activation business. Chief Executive Matt Edelman will remain in his position. The company plans to establish a Bitcoin treasury using the assets contributed directly by Metaplanet, avoiding the need to purchase the initial 2,100 BTC on the open market. The strategy is designed to provide US investors with exposure to a Bitcoin-focused public company connected to Metaplanet’s larger treasury operations. Metaplanet reported holding approximately 43,000 BTC when the agreement was announced in August, making the proposed contribution equivalent to roughly 4.9% of those holdings. The transaction would place those Bitcoin within a controlled subsidiary rather than constitute an ordinary third-party sale. However, the structure introduces additional considerations for shareholders, including potential dilution from future warrant exercises and the volatility associated with Bitcoin-backed corporate valuations. Superplanet may also pursue additional capital raising after completion, depending on market conditions. For Metaplanet, the acquisition represents an expansion of its financing and investment infrastructure beyond the Tokyo Stock Exchange. For Super League, it marks a proposed transformation from a gaming-focused advertising business into a company combining operating revenue with a substantial Bitcoin treasury. The immediate milestone remains transaction completion. Shareholder approval advances the plan, but the proposed ownership structure, rebranding and Bitcoin contribution will take effect only after closing.
